1. Supervisory Governance & Mandatory Committee Attendees
Under FINRA Rule 3110 and Rule 5310.09, regular and rigorous reviews require active supervisory deliberation. Simply reviewing a spreadsheet or receiving a vendor dashboard without formal committee action creates regulatory risk during cycle examinations. Broker-dealers must maintain written minutes documenting quarterly committee meetings.
Committee minutes must record the formal meeting date, review period, and all participating supervisory personnel. Requisite attendees typically include the Chief Compliance Officer (CCO), Head of Trading or Best Execution Officer, and technology or clearing operations leads. Minutes must reflect that the committee evaluated both internal routing performance and comparative statistics for non-routed competing market centers.
2. Documenting Competing-Market Exceptions Under 5310.09(b)
Rule 5310.09(b) states that when material differences in execution quality exist between routed venues and competing alternatives, the broker-dealer must either modify routing arrangements or document contemporaneous written business justification. Generic affirmations stating that execution quality was acceptable do not satisfy this standard.
Minutes must document specific findings: the precise order class, symbol universe (such as S&P 500 proxy holdings vs. other NMS stocks), notional size tier, and the observed shortfall in basis points or fill rate relative to peer benchmarks. The record must indicate whether the committee ordered an adjustment to routing tables or smart order router (SOR) logic, or approved a structured business justification.
3. Structured Justification Categories and Valid Examples
When the committee determines to maintain current routing despite a competing market showing superior price improvement in a specific tier, it must document a rationale grounded in the 5310.09 evaluation factors. Standard business justification categories include:
• Clearing and Connectivity Constraints: Maintaining routing through an omnibus clearing broker or existing wholesaler because alternative market centers lack clearing interface connectivity, and direct FIX integration would create disproportionate operational costs relative to order flow volume. • Execution Speed and Fill Latency: Competing venues reporting marginal price improvement may exhibit wider latency distributions or elevated tail latency (p95 or p99), heightening quote-fade risk on marketable orders in volatile markets. • Comprehensive Commercial Terms: Routing arrangements provide essential operational resiliency, broader symbol coverage, or integrated risk management controls that benefit customer order handling. • Immaterial Volume: The tier represents de minimis trade volume where statistical samples are thin and do not demonstrate persistent execution divergence.
4. Record Retention and Supervisory Audit Trail
Committee minutes, comparative benchmark exhibits, and written justification records must be retained pursuant to SEC Rule 17a-4 and FINRA Rule 4511 for a period of not less than three years, the first two years in an easily accessible place. Records should include data source provenance, calculation methodologies, and attendee attestations.
Maintaining consistent quarterly minutes with structured justification categories demonstrates continuous supervisory oversight and adherence to the regular and rigorous review protocol specified in Supplementary Material 5310.09.
